Terms of Service

1. Agreement

These Terms of Service govern your use of Teloframe, which is operated by NEXTON INTERACTIVE LIMITED. By accessing or using the Service, you agree to these Terms, our Privacy Policy, our Cookie Policy, and, where you use the Service for an organization to process personal data, our Data Processing Addendum.

2. Eligibility

Teloframe is available only to users who are at least 13 years old. By creating or using an account, you represent that you meet this minimum age requirement.

If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and permission of a parent, guardian, school, club, or other authorized adult organization representative.

The Service is designed and marketed primarily for users who are at least 16 and for adult coaches, analysts, clubs, and educators. Children under 13 may not create accounts directly. Minor player records may be managed through adult staff accounts where the relevant club, academy, school, or coach has the lawful authority and permissions required by applicable law.

A club can also invite a player, or a player's parent or guardian, to a portal account. The club decides who to invite and is responsible for meeting the age and consent rules that apply to it, including any local rule that treats a person under 18 as a child requiring parental consent, as is the case under Kenyan data-protection law. Our Safeguarding page explains what the Service does and does not check.

3. The Service

Teloframe is a connected football coaching and tactics platform that may include:

  • Interactive 2D and 3D tactics boards
  • Formations, annotations, animations, and presentations
  • Drill editing and session planning, including live sessions
  • Team, club, and player development workflows
  • Matchday workflows such as fixtures, lineups, live match logging, attendance and availability, awards, debriefs, and match photo or video galleries
  • Fixture import from files such as CSV or calendar files, and league or competition reference data from third-party providers
  • A player and parent portal, team announcements, and in-app, email, and browser push notifications
  • Public libraries where users can publish and reuse selected content
  • Exports, sharing, and collaboration features
  • AI coaching tools across the platform

Features may change over time. Some features may be limited, paused, experimental, or marked as coming soon.

4. Accounts and Security

You agree to:

  • Provide accurate account information
  • Keep your credentials confidential
  • Notify us promptly about suspected unauthorized access
  • Use the Service only through authorized means
  • Be responsible for activity under your account

We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risk, including accounts we reasonably believe were created in breach of the minimum age requirements above.

We may send service-related communications needed to operate your account or the Service, including verification, billing, support, security, legal, and administrative notices. If you request launch updates or otherwise opt in to marketing communications, we may also send product updates, launch announcements, and offers subject to applicable law. Marketing communications will include an unsubscribe method.

5. Clubs, Organizations, and Customer Records

If you use the Service on behalf of a club, academy, school, team, or other organization, you represent that you are authorized to do so and to bind that organization where relevant.

You are responsible for ensuring that any player, guardian, child, or health-related data you upload is lawful to collect, lawful to share with the Service, accurate to the best of your knowledge, and limited to what is reasonably necessary for the intended coaching, educational, sporting, or administrative purpose.

If you use Teloframe for an organization to process personal data in team, player, session, plan, evaluation, or related workflows, the Data Processing Addendum is incorporated into these Terms and governs our processor obligations for that customer content.

6. Subscriptions and Billing

Paid subscriptions are processed through Polar. Subscription plans may renew automatically unless canceled before the next billing cycle.

  • You may cancel a paid plan before renewal.
  • Plan features, seat limits, and pricing may differ by tier.
  • Except where required by law or stated at checkout, fees are non-refundable.
  • We may change pricing or plan structure in the future with reasonable notice.

Polar acts as merchant of record for purchases, which means Polar sells the subscription or credit pack to you, issues the receipt or invoice, and handles applicable taxes. Polar's own terms apply to that transaction alongside these Terms.

Seats. Club plans include a number of seats. An administrator assigns seats to staff, and may reassign a seat when a person leaves the organization. Adding seats beyond the included allowance may change the amount payable. Access to seat-gated features stops when a seat is removed or the plan lapses.

AI credits. Some AI features consume credits. Plans include a credit allowance that refreshes each billing period, and unused included credits do not roll over when the period resets. You can also buy one-time credit packs. Credits have no cash value, cannot be exchanged for money, and cannot be transferred between accounts except where a feature expressly allows it. Credits are consumed when a request is made, including where the AI output is not useful to you. Purchased credits remain available while your account is active and are forfeited if the account is closed or terminated for breach.

Consumer rights. Nothing in this section removes any statutory cancellation, withdrawal, or refund right you have as a consumer under the law that applies to you. Where you have a statutory right to withdraw from a purchase of digital content, starting to use the purchase within the withdrawal period, for example by spending credits, may end that right to the extent the law allows.

7. Fair Use, Quotas, and Rate Limits

We apply quotas, rate limits, storage caps, and cost controls to keep the Service available and affordable for everyone, including limits on AI requests, uploads, video storage, and gallery items. We may adjust these limits, and we may throttle, queue, or temporarily suspend activity that materially exceeds normal use or threatens the stability, security, or cost base of the Service.

8. Portal Users, Players, and Families

Clubs and other customers can invite a player, or a player's parent or guardian, to a portal that shows selected information about that player. If you send such an invitation, you confirm that you are authorized to share that information with the recipient and, where the player is a child, that you have the permissions required by applicable law.

If you use the Service as a portal user, you may use it only to access information about the player you are linked to, you must not share access credentials or private links with anyone else, and you must not redistribute other people's information you encounter. The customer that issued your invitation controls what you can see and can revoke your access at any time.

9. Photos, Video, and Likeness

If you upload a photo, video clip, crest, badge, sponsor mark, or other image, you confirm that you own it or have the rights and permissions needed to upload it, to tag the people in it, and to use it in the ways the relevant feature allows, including display in galleries, exports, printed materials, and any public page you choose to publish.

Where media shows a child, you are responsible for holding the media or likeness consent required by applicable law and by your own safeguarding rules, for honouring anyone who has withheld or withdrawn that consent, and for removing the media promptly if consent is withdrawn. You must not upload media obtained without permission, and you must not upload intimate, degrading, or otherwise harmful imagery of any person.

10. User Content

You retain ownership of the content you create or upload, including boards, drills, sessions, evaluations, player records, and related materials. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, and display that content only as needed to operate, secure, improve, and provide the Service.

Your own content is yours to use commercially. On a paid plan you may use, publish, sell, and distribute the boards, drills, sessions, and media you export, including in products, courses, and services you offer to other people, with no further licence from us and no attribution required. This covers work you authored, including where our AI features helped you make it. The Free plan is for your own coaching and your own organization, its exports carry our watermark, and you must not remove or obscure that watermark. This permission does not extend to the content described in section 11.

If you publish content to a public library, you grant every other user of the Service a non-exclusive, worldwide, royalty-free licence to view, copy, adapt, and reuse that content through the features we provide, such as forking a published tactic, session, or drill into their own workspace. Where a feature offers the choice, you decide whether to publish under your name or anonymously. You may unpublish at any time, which removes the content from the library going forward, but copies other users already made remain theirs to use under the licence granted when they made them.

Do not publish content you do not have the right to publish, and do not publish player records, health information, children's data, guardian data, or images of identifiable children to a public library.

We may review, refuse, remove, unpublish, or restrict content that we reasonably believe breaches these Terms, infringes someone's rights, exposes children's or health data, or creates legal or safety risk. We are not obliged to monitor content, and removal is a right rather than a duty except where the law requires otherwise.

11. Our Intellectual Property

The Service itself, including the software, interfaces, models, templates, seeded libraries we author, branding, and documentation, belongs to NEXTON INTERACTIVE LIMITED or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose while your account is in good standing. You may not copy, resell, sublicense, reverse engineer, or create derivative works from the Service except to the extent that restriction is prohibited by law.

This includes the drills, sessions, tactics, formations, and other library content we author and publish. You may use that content inside the Service, including forking it into your own workspace and using it with the teams you coach. You must not republish, redistribute, or sell it outside the Service, or present it as your own work.

12. Reporting Infringing or Harmful Content

If you believe content on Teloframe infringes your intellectual property, uses your image or your child's image without permission, or otherwise breaches these Terms, contact us at contact@teloframe.com with a link to the content, a description of the problem, and enough detail for us to identify your rights or your relationship to the person shown.

We will review reports and may remove or restrict the content, contact the customer that uploaded it, or refer the matter to that customer where it controls the record in question. We may suspend or terminate accounts that repeatedly infringe.

13. Feedback

If you send us feedback, ideas, feature requests, or bug reports, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them to improve the Service without obligation, attribution, or payment to you. Do not send us feedback you consider confidential.

14. Sharing and Public Visibility

Share links make content accessible to anyone who has the URL. We do not intend shared-link pages to be indexed in search engines and we may apply technical measures such as noindex signals and sitemap exclusion, but we cannot guarantee that a recipient or third party will not redistribute, capture, or expose the content after you share it.

You must not publicly publish or share health information, children's data, guardian data, or other sensitive or confidential material unless you are authorized to do so and the disclosure is lawful.

15. AI Features

Teloframe includes AI coaching tools across tactics, player development, training, match intelligence, and club management. When you use an AI feature, relevant prompts, supporting context, and generated output may be processed by our AI providers, currently OpenAI and Anthropic, and related service infrastructure to provide that feature. We do not use your content to train our own models.

Depending on the feature and what you choose to submit, AI inputs may include tactical notes, player information, evaluation data, session details, club guidance, match notes, or other context you include. Do not submit unnecessary sensitive data to AI features.

If you choose to use AI features with player, minor, guardian, or health-related data, you are responsible for having the lawful basis, authority, notices, and permissions required by applicable law. AI output is provided for planning, ideation, and drafting support only. It may be inaccurate or incomplete and should always be reviewed by a qualified human user before use. It is not medical advice.

16. Acceptable Use

You must not:

  • Use the Service unlawfully or in violation of others' rights
  • Attempt unauthorized access to accounts, data, or systems
  • Upload malware, harmful code, or abusive content
  • Scrape, harvest, or extract data at scale without permission
  • Circumvent access controls, rate limits, or subscription rules
  • Share confidential, youth, guardian, or health data publicly without authority
  • Use the Service as a clinical records system, emergency response service, or substitute for professional medical judgment
  • Use the Service to build or operate a competing service through unauthorized extraction

17. Controller and Processor Framework

NEXTON INTERACTIVE LIMITED acts as controller for personal data needed to run its business and the Service, including account management, billing and subscription administration, service security, support, fraud prevention, legal compliance, and direct marketing preference management.

When you upload or manage team, player, evaluation, plan, session, or other organization-managed records through adult staff accounts, you or your organization generally act as controller for that customer content, and we typically act as processor or service provider for that content under the Data Processing Addendum.

18. Third-Party Services

The Service relies on third-party providers such as hosting, database, email, analytics, collaboration, payment, and AI vendors. Your use of certain features may also involve those providers' terms and privacy policies. A current public list of relevant subprocessors and other service providers is available on our Subprocessors page.

Some features display league, competition, or fixture information taken from files you import, such as CSV or calendar files, or from text you paste. That information is provided as is. We do not warrant that it is accurate, complete, or current, and it must not be treated as an official record.

19. Beta and Experimental Features

We may label features as beta, preview, experimental, or coming soon, and we may make different feature configurations available to different accounts while we evaluate them. Those features are provided without warranty or availability commitment, may change or be withdrawn, and should not be relied on for anything critical.

20. Availability and Changes

We may modify, suspend, or discontinue any part of the Service at any time. We do not promise uninterrupted availability and we are not responsible for outages caused by third-party providers, internet failures, or events outside our reasonable control.

21. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

22. Limitation of Liability

To the fullest extent permitted by law, NEXTON INTERACTIVE LIMITED and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Service.

Our total aggregate liability for claims arising out of the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for any non-waivable consumer rights you have.

23. Indemnity

If you use the Service on behalf of an organization, or in a professional or business capacity, you will indemnify and hold harmless NEXTON INTERACTIVE LIMITED and its directors, officers, employees, and contractors against claims, damages, losses, fines, and reasonable costs arising from your content, your use of the Service in breach of these Terms or of applicable law, or your handling of player, guardian, children's, health, or media data, including any claim that you lacked the permissions or lawful basis you represented you had.

This section does not apply to consumers to the extent applicable law prohibits it.

24. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, created legal risk, harmed the Service, or misused the platform.

When an account is closed, access to paid features ends immediately and we delete or disassociate account data as described in the Privacy Policy, subject to backups, logs, and legal retention. Content that belongs to a club workspace stays with that club, which controls it. Export anything you want to keep before closing an account.

Provisions that by their nature should survive termination, including provisions on payment, intellectual property, content licences granted to other users, disclaimers, liability limits, dispute resolution, processor obligations, and indemnity, will survive.

25. Events Outside Our Control

We are not liable for failure or delay in performing our obligations where it is caused by something outside our reasonable control, including provider or infrastructure outages, network failures, cyber attacks, industrial action, government action, or natural events.

26. General

  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and, where it applies, the Data Processing Addendum, form the whole agreement between you and us about the Service.
  • Severability. If any provision is found unenforceable, the rest remains in force.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, financing, or sale of the business.
  • Notices. We may give notice by email to the address on your account or by a notice in the Service. You should give notice to us by email at the address below.
  • No third-party rights. Except where stated, no one other than you and us has the right to enforce these Terms.

27. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kenya. The courts of Nairobi, Kenya will have exclusive jurisdiction over disputes arising from these Terms or the Service, except to the extent that non-waivable consumer rights in your home jurisdiction require otherwise.

Before filing a claim, you agree to contact us at contact@teloframe.com and try to resolve the issue informally first.

28. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and may provide additional notice where appropriate. Continued use of the Service after the updated Terms take effect means you accept the revised Terms.
